1. Provider, scope, incorporation

1.1 The provider is: prokodo (sole proprietorship), owner: Christian Salat (“prokodo”).

1.2 These Seller Terms apply to all users acting as sellers who create listings, upload hosted artifacts, reference verified npm/OSS, and/or offer digital content via the platform.

1.3 B2B only: sellers act exclusively as entrepreneurs under § 14 BGB.

1.4 Scope: these Seller Terms apply exclusively to the monetization features of the platform (paid listings, payouts, Stripe Connect integration). Free (OSS) listings are governed by the general AGB; activation of seller monetization is not required for them.

1.5 These Seller Terms are made available on the platform and, as effectively incorporated, form part of the contract. The AGB, Verification Policy and Refund & Dispute Policy also apply.

2. Role model, responsibilities, contract relationship

2.1 The default is the third-party model: the product contract is concluded between customer and seller unless the listing/checkout states “Sold by prokodo”.

2.2 Sellers are responsible for: (a) listing information, documentation, support commitments, license terms/EULA; (b) third-party rights compliance; (c) legality and security of the artifact; (d) maintenance/updates as promised.

2.3 prokodo provides the technical platform infrastructure (hosting/distribution, payment integration, verification/release). prokodo may define and enforce rules to protect platform integrity (security/compliance).

3. Onboarding, identity, payment providers, taxes

3.1 prokodo may require additional verification (e.g., KYC/AML via payment providers). Payouts may be blocked until successful completion.

3.2 Sellers are solely responsible for tax obligations (VAT, invoicing, retention). prokodo does not provide tax or legal advice.

3.3 prokodo may hold/review transactions in case of fraud suspicion, misuse, sanctions/embargo risks, or chargeback risk.

4. Listing duties (transparency, minimum information)

4.1 Sellers must keep listings complete, accurate and up to date. Material information must not be misleading.

  • Minimum information: scope, system requirements (e.g., n8n version), dependencies, install/config instructions, known limitations.
  • License/pricing: license type (one-time/subscription/seat/org), scope of rights, update/support scope, term where applicable.
  • Security/privacy: required permissions, network access, secrets handling, telemetry only if disclosed.

5. Artifacts, versions, hosting & distribution

5.1 Sellers may upload hosted artifacts or reference verified npm/OSS (depending on platform features).

5.2 prokodo may apply a lifecycle to versions and gate distribution by status (release gating).

5.3 prokodo may define technical limits (formats, sizes, rate limits, storage policies).

6. Verification: consent, cooperation, re-verification

6.1 Sellers consent to technical verification, including automated execution in isolated environments (sandbox/runner) and collection of technical results (logs, exit codes, findings).

6.2 Sellers must cooperate by providing reproducible install/test guidance and timely remediation of findings where they seek release.

6.3 prokodo may require re-verification (e.g., new versions, dependency changes, policy changes, security advisories, incidents, abuse indicators).

7. Security and compliance minimum standard

7.1 Sellers warrant artifacts contain no harmful or prohibited functionality (malware, backdoors, credential stealers, undisclosed telemetry, circumvention of security controls).

7.2 Secret hygiene: no hard-coded secrets/keys/tokens/private keys. Required secrets must be documented as user-provided secrets.

7.3 Where personal data is processed, sellers must document key processing information in the listing to the extent they are responsible.

8. Rights, licenses, indemnification

8.1 Sellers warrant they hold all rights required to offer, host, verify and distribute the artifact via the platform.

8.2 Sellers grant prokodo the non-exclusive, worldwide rights necessary to operate the platform (display listings, host/verify/distribute artifacts, process metadata such as search indexing).

8.3 Sellers indemnify prokodo against third-party claims arising from rights infringement or unlawful seller content, to the extent the seller is responsible (including reasonable legal defense costs).

9. Support response standards (best practice)

9.1 Where support is promised in the listing, the seller is the primary support contact.

  • Target initial response: within 2 business days.
  • Security-related reports: prompt review and prioritized handling; prokodo may immediately block/delist in urgent cases.

10. Measures, takedown, delisting, suspension

10.1 prokodo may disable or delist listings/versions if findings indicate security risks, policy violations exist, rights infringement is alleged (notice-and-takedown), or fraud/abuse indicators exist.

10.2 prokodo will seek to allow seller input where compatible with security and legal constraints. In urgent cases prokodo may act immediately.

10.3 Repeated or severe violations may result in permanent suspension.

11. Payouts, holds, chargebacks

11.1 Payouts follow the displayed billing cycles and depend on the payment provider.

11.2 prokodo may reasonably withhold payouts while chargebacks are pending, fraud is suspected, legal reviews are ongoing, or a security incident impacts the transaction.

11.3 Holds will be released once the reason ceases and no legal/contractual obstacles remain.

12. Liability (seller ↔ prokodo)

12.1 prokodo liability towards sellers follows the AGB liability rules.

12.2 Sellers are liable to prokodo for damages/costs caused by rights violations, policy violations, malware/backdoors/secrets leaks, to the extent the seller is responsible.

13. Term and termination

13.1 Sellers may terminate their account at any time. Ongoing obligations (indemnity, billing, retention) survive.

13.2 prokodo may suspend/terminate for good cause, especially for material policy violations or security risks.
